Terms of Service

Please read carefully. By engaging Lead Nexify's services, booking a call, or making a payment, you agree to be bound by these Terms of Service. These terms govern all work performed by Lead Nexify.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Lead Nexify ("we," "us," or "our") regarding any services purchased or engaged from us.

By booking a strategy call, signing a proposal, making a payment, or otherwise engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not engage our services.

These Terms apply to all services including but not limited to: GoHighLevel funnel development, CRM configuration, automation workflows, Meta Ads management, API integrations, and any related consulting or support.

Services Provided

Lead Nexify provides digital marketing and automation services as described in project proposals, service packages, or verbal/written agreements. Specific deliverables, timelines, and scope are defined in:

  • Written proposals or project briefs sent to the Client.
  • Onboarding questionnaires and discovery call notes.
  • Email or messaging thread confirmations of agreed scope.

Any work requested beyond the agreed scope constitutes a new or expanded engagement and may be subject to additional fees. We will communicate any out-of-scope requests before proceeding.

We reserve the right to decline any project, request, or service at our sole discretion, including projects that conflict with our values or require involvement in deceptive, illegal, or unethical practices.

Client Responsibilities

To enable successful delivery of our services, you agree to:

  • Provide accurate, timely, and complete information required for the project (access credentials, brand assets, copy, offer details, etc.).
  • Grant necessary access to platforms including but not limited to GoHighLevel, Meta Business Manager, Stripe, and any third-party tools in scope.
  • Review and provide feedback on deliverables within the agreed review window (typically 3–5 business days per revision cycle).
  • Ensure that all content, materials, and business practices you ask us to implement comply with applicable laws and platform policies.
  • Maintain current and valid payment methods for all agreed fees.

Delays caused by the Client's failure to provide necessary materials or feedback in a timely manner may result in adjusted timelines. Lead Nexify is not liable for project delays stemming from Client-side bottlenecks.

Payments & Fees

All pricing is outlined in the project proposal or service agreement. Unless otherwise specified:

  • Deposit: Projects require a 50% upfront deposit before work commences. No work begins until the deposit is received and confirmed.
  • Final Payment: The remaining 50% is due upon project completion and before final handoff of deliverables or access credentials.
  • Retainer Services: Monthly retainer fees are billed in advance at the start of each billing period. Failure to pay within 5 days of the due date may result in paused service.
  • Currency: All fees are quoted and payable in USD unless otherwise agreed in writing.
  • Payment Methods: Payments are processed via Stripe, bank transfer, or other agreed methods. All payment processing is subject to Stripe's Terms of Service.
  • Late Payments: Invoices unpaid beyond 10 business days of the due date may incur a late fee of 5% per month on the outstanding balance.

Refund Policy

Due to the custom, time-intensive nature of our work, our refund policy is as follows:

  • Deposits: Non-refundable once work has commenced. If a project is cancelled by the Client before work begins, a full deposit refund will be issued.
  • Completed Work: No refunds are issued for completed deliverables that meet the agreed scope.
  • Retainer Services: Retainers cancelled before the end of a billing period are non-refundable for that period. Cancellation takes effect at the end of the current billing cycle.
  • Disputes: If you believe delivered work does not meet the agreed scope, you must raise the dispute in writing within 7 days of delivery. We will work to resolve any genuine discrepancies at no additional cost.

⚠ Refunds are evaluated case by case. We are committed to delivering quality work and will always seek to resolve concerns before considering refund requests.

Intellectual Property

Upon receipt of full payment for a project, intellectual property rights for final deliverables are transferred to the Client as follows:

  • Custom-coded HTML, CSS, and JavaScript components created specifically for your project.
  • Custom graphic designs, copy, or creative assets developed as part of the engagement.
  • GoHighLevel page structures and funnel configurations built within your account.

Lead Nexify retains the right to:

  • Use non-confidential project work as portfolio examples and case studies (with sensitive data redacted) unless the Client requests otherwise in writing.
  • Retain proprietary templates, frameworks, code libraries, and workflow systems used to build your deliverables. These remain the intellectual property of Lead Nexify.
  • Reference the Client's name and project outcome in marketing materials unless a written non-disclosure agreement specifies otherwise.

Confidentiality

Both parties agree to treat as confidential any proprietary information shared during the course of the engagement, including but not limited to:

  • Business strategies, offer structures, and pricing models.
  • Login credentials and platform access details.
  • Customer data and CRM records.
  • Internal processes, proprietary workflows, and unreleased product information.

Lead Nexify will not disclose Client-specific confidential information to third parties without the Client's explicit consent, except where required by law. This obligation survives the termination of the service agreement.

Clients must not share Lead Nexify's proprietary methodologies, templates, or internal processes with competitors or third parties without our prior written consent.

Limitation of Liability

Lead Nexify provides services in good faith and to the best of our ability. However, we make no guarantees regarding specific results including but not limited to lead volume, conversion rates, revenue, or return on ad spend (ROAS).

Marketing outcomes are influenced by many factors outside our direct control, including market conditions, offer quality, audience targeting, platform algorithm changes, and Client-side execution.

To the maximum extent permitted by applicable law:

  • Lead Nexify's total liability to the Client shall not exceed the total fees paid for the specific project or service in question.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue or business opportunity.
  • We are not responsible for third-party platform outages, policy changes, or restrictions that affect campaign performance or funnel functionality.

Termination

Either party may terminate an ongoing service engagement with written notice subject to the following conditions:

  • Client-initiated termination: Must be submitted in writing with a minimum of 14 days' notice for retainer services. The Client remains responsible for payment of all work completed up to the termination date.
  • Lead Nexify-initiated termination: We reserve the right to terminate any engagement with 14 days' written notice. In such cases, a pro-rata refund for any prepaid but undelivered work will be issued.
  • Immediate termination: Either party may terminate immediately for cause — including non-payment, breach of these Terms, or abusive conduct — without additional notice period.

Upon termination, all outstanding invoices become immediately due. Lead Nexify will provide handoff documentation for completed work within 7 business days of termination.

Third-Party Platforms

Many of our services involve third-party platforms including GoHighLevel, Meta, Stripe, Zapier, Make.com, and others. You acknowledge that:

  • Third-party platforms operate under their own terms of service and privacy policies. Compliance with those terms is the Client's responsibility.
  • Lead Nexify is not affiliated with or endorsed by GoHighLevel, Meta, Stripe, or any other platform we work with.
  • Platform policy changes, algorithm updates, or account restrictions imposed by third parties are outside our control. We will work to mitigate impacts where possible but cannot guarantee continuity of service in such cases.
  • Any platform subscription costs (e.g., GHL SaaS plan, Meta ad spend) are separate from Lead Nexify's service fees and are the Client's responsibility.

Revisions & Scope

Our service packages include a defined number of revision rounds as specified in the project proposal (typically 2 rounds of revisions). Revisions are defined as adjustments to existing agreed deliverables — not the addition of new features or scope.

  • Additional revision rounds beyond the included allowance may be billed at an hourly rate or flat fee as agreed.
  • Requests for features or functionality not included in the original scope will be quoted separately.
  • A revision request must be submitted in writing via email or messaging. Verbal requests are not accepted as formal revision instructions.

Lead Nexify strives to deliver work that fully meets the agreed brief. If our initial delivery does not match the agreed scope, we will correct it at no additional cost.

Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial practices. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.

If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration or mediation as mutually agreed. Both parties waive the right to class-action litigation.

For clients operating in jurisdictions with specific consumer protection laws, those laws shall apply where they provide greater protection than these Terms.
